Terms and Conditions.
1. Scope of Services
AKRUP provides cybersecurity governance, compliance readiness, and advisory services as outlined in the agreed proposal or statement of work. Any additional tasks, including expanded audit preparation, documentation, or remediation support, require written approval and may incur additional fees.
2. Fees & Payment

Fees follow the structure defined in the proposal (fixed fee, milestone‑based, or day rate).

Invoices are payable within 14 days unless otherwise agreed.

Late payments may accrue interest at the statutory rate.
3. Client Responsibilities
The Client agrees to:

Provide timely access to systems, documentation, personnel, and information required for AKRUP to perform the engagement.

Ensure the accuracy and completeness of all information supplied.

Make decisions and approvals promptly to avoid delays in project timelines.
4. Confidentiality & Data Handling
Both parties will protect all confidential and sensitive information, including security documentation, system details, and compliance artefacts.
AKRUP will handle client data in accordance with professional standards and use it solely for delivering the contracted services. Confidentiality obligations continue after the engagement ends.
5. Intellectual Property
AKRUP retains ownership of its methodologies, frameworks, templates, and proprietary materials.
The Client receives a non‑exclusive licence to use deliverables for internal compliance, audit preparation, and governance purposes.
6. Limitation of Liability
AKRUP’s liability for any claim arising from the engagement is limited to the total fees paid for the services.
AKRUP is not liable for indirect, consequential, or economic losses, including business interruption or loss of profit.
7. No Guarantee of Certification
AKRUP provides advisory and readiness support but does not guarantee certification outcomes (e.g., CMMC, TISAX, ISO, or other compliance frameworks). Final results depend on the Client’s implementation, controls, and auditor determinations.
8. Termination
Either party may terminate the engagement with written 30 days’ notice.
The Client must pay for all work completed and expenses incurred up to the termination date.
9. Independent Contractor
AKRUP operates as an independent consultancy. Nothing in this agreement creates an employment, partnership, or agency relationship.
10. Governing Law
This agreement is governed by the laws of England and Wales unless otherwise agreed in writing.
